2Account Registration & Management

2.1 Account Registration

You further represent and warrant that: (1) your current physical location is not within Mainland China; (2) you are not a natural person, legal entity or other organization of Mainland China; (3) you will not access or use the Service from within Mainland China; (4) data obtained through the Service will not be used to analyze or evaluate the behavior of natural persons located within Mainland China.

You understand and agree that any false, inaccurate, incomplete, or outdated information you provide may result in the suspension or termination of your account, for which we assume no responsibility.

2.2 Account Security

• You shall keep your account and password confidential and assume full responsibility for all activities occurring under your account, whether authorized by you or not.
• If you discover any unauthorized use of your account or password, you must notify us in writing immediately.
• You may not use another person’s user ID and password to access our services.
• You may be held liable for any losses resulting from a failure to keep your password confidential, including but not limited to losses caused to Pangolinfo or other users.

2.3 Account Disablement

We reserve the right, at our sole discretion and without prior notice or explanation, to disable your account on the services. This disablement may be based on, but not limited to, the following reasons: violation of this Agreement, suspected illegal activities, default on service fees, or other actions we deem potentially harmful to the services or users.

2.4 Account Usage Geographic Restriction

Your account may only be used by you outside Mainland China. You may not provide your account to any individual or entity located within Mainland China for use, nor may you allow anyone to log in or use your account from within Mainland China. Any violation of this clause shall entitle us to immediately suspend or terminate your account without refunding any paid fees.

3Service Purchase & Payment

3.1 Product Purchase

Users can select and purchase the required data API products and service packages through our management backend.

3.2 Payment Methods

We support payments via Credit Card and Stripe. You agree to abide by the applicable terms and conditions of the payment service providers.

3.3 Billing Models

You may choose to purchase our services via subscription or pay-as-you-go. For specific billing details, please refer to the pricing page on our website. You understand and agree that all paid service fees are non-refundable, unless expressly stated in this Agreement or otherwise required by law.

3.4 Billing & Invoicing

You agree that we have the right to charge you for the services selected. You authorize us to charge all applicable fees through your payment method. It is your responsibility to ensure that your payment information is always up to date and valid. We are not responsible for any service interruptions or delayed charges resulting from inaccurate or expired payment information.

3.5 Service Fees and Right to Adjust Pricing

You understand and agree that the services provided by Pangolinfo are paid services, with specific billing rules subject to the latest standards published on our website. To ensure service quality and system stability, we reserve the right to unilaterally adjust service prices, billing methods, and fee structures at any time due to factors such as increased service costs, infrastructure investments, or changes in market strategy.

Any adjustments will be announced via website notices, system messages, or email, and will take effect on the date specified.

4Licenses & Restrictions

4.1 Intellectual Property

Unless expressly stated otherwise, Pangolinfo or our licensors own all intellectual property rights to the services and website materials (including but not limited to all text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, and computer code). All such intellectual property rights are subject to this Agreement and protected by copyright, patent, trademark laws, and various other intellectual property rights.

4.2 License Grant

Subject to your compliance with the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our services.

4.3 Website Use Restrictions

You may only view, download, and print website pages for your personal use for caching purposes, subject to the restrictions in this Agreement. You must not:

• Republish material from this website (including republication on another website).
• Sell, rent, or sub-license material from the website.
• Show any material from the website in public.
• Reproduce, duplicate, copy, or otherwise exploit material on our website for a commercial purpose.
• Edit or otherwise modify any material on the website.

• Use the services in any manner that could damage, disable, overburden, or impair our servers or networks.

4.4 Acceptable Use

You understand and accept that legally extracting data from websites using web crawlers within a relevant business relationship is permissible. However, in certain situations and specific jurisdictions, scraping activities may conflict with applicable regulations or violate the specific terms of service of the scraped website.

You promise not to use our services for any illegal, infringing, malicious, or violating acts against third-party terms of service, including but not limited to:

• Infringing any third party’s copyrights, trademarks, patents, trade secrets, or other intellectual property rights.
• Violating any data privacy and protection laws and regulations (including but not limited to GDPR, CCPA, PIPL, etc.).
• Conducting any form of denial-of-service attacks, phishing, virus distribution, or other malicious cyber activities.
• Collecting any legally protected Personally Identifiable Information (PII) or sensitive data, unless you have obtained sufficient legal authorization.
• Bypassing any security measures or access restrictions.
• Causing excessive load on target websites or interfering with their normal operations.
• Using the Service to scrape data from websites located in Mainland China or personal information of natural persons located in Mainland China.
• Requesting us to forcibly bypass or crack security measures such as verification codes, IP blocks, account permissions or access controls of target websites.
• Conducting data scraping in violation of the target website’s express Robots.txt protocol or other access restriction rules.
• Transmitting data obtained through the Service to Mainland China or providing such data to any individual or entity located within Mainland China for use.

4.5 Restricted Access

We reserve the right to restrict access to certain areas of our website, or our entire website, at our discretion.

4.6 Authorized Account Access & Targeted Data Extraction

When you authorize us, or provide us with account information for relevant target platforms (including but not limited to Cookies, Tokens, or login credentials), so that we can provide you with technical solutions to extract specific information designated by you, you expressly understand and agree to the following terms:

• Compliance Liability: As a technical service provider, we solely offer data extraction solutions designed to improve your efficiency in acquiring data. We only provide data extraction services and are not responsible for the permissions and compliance of data usage. The relevant compliance assessment and legal liability shall be entirely borne by you (the user).
• Prerequisites & Guarantees: The prerequisite for our provision of this service is the assumption that: you have fully understood and confirmed the ownership of the relevant data, and you have thoroughly read, understood, and accepted the target platform’s relevant User Agreement (Terms of Service) and Privacy Policy.
• Compliance with Platform Rules: You promise and guarantee that your actions of acquiring and using data through our technical solutions will strictly comply with all requirements of the target platform regarding the scope of data acquisition, usage methods, and restrictions.

4.7 Prohibition of Resale and Service Commercialization

Unless expressly authorized in writing by Pangolinfo, you shall not:

• Resell, rent, lease, or otherwise make our API interfaces, product services, code, or technical solutions available to any third party.
• Package the data acquired through our services into commercially competitive data interfaces, API services, or data products for external sale.
• Act as a “service provider” or in the capacity of a service agent, using our services to directly provide data scraping services for third parties.

Your use of the services is strictly limited to your own internal business needs or your compliant products directly facing end-users. Any unauthorized resale or distribution constitutes a material breach of this Agreement, and we reserve the right to immediately terminate your account and pursue legal liability.

4.8 Legality of Technical Means Warranty

You warrant that all data scraping requests initiated through the Service comply with the applicable laws and regulations of the target website’s jurisdiction, as well as the target website’s terms of service and Robots.txt protocol. We only provide technical tools and do not review the legality of any scraping requests. All responsibilities arising from your scraping activities shall be borne solely by you.

5Data Privacy & Confidentiality

5.1 Your Data

Any data you collect or upload using our services (hereinafter “Your Data”) remains your property. We will not engage in unauthorized access, use, or disclosure of Your Data, unless expressly permitted by this Agreement or required by law.

5.2 Data Usage

You agree that we have the right to use Your Data (limited to non-personally identifiable aggregated data) for service improvements, analytics, and marketing purposes, but we promise that such usage will not identify you personally or disclose your sensitive information.

5.3 Data Storage & Security

We will employ reasonable physical, technical, and administrative measures to protect Your Data against unauthorized access, use, or disclosure. However, you understand and accept that no method of data transmission or storage is 100% secure. You acknowledge and agree that we cannot guarantee the absolute security of Your Data during transmission or storage.

5.4 Confidentiality Obligations

You agree to keep confidential any non-public information obtained through the services (including but not limited to our technical information, business plans, and pricing), unless such information is already public or you have obtained our written consent.

5.5 Disclaimer on Cross-Border Data Transfer

Given the global nature of our services, the data you collect, process, or transmit through our services may involve cross-border transfers. You understand and agree that:

• You assume full responsibility for ensuring that any cross-border data transfer complies with applicable laws and regulations;
• We assume no liability for any legal consequences, regulatory risks, or compliance issues arising from cross-border data transfers;
• You shall independently evaluate and bear all risks associated with cross-border data transfers;
• If the laws in your jurisdiction require you to obtain specific authorization or meet certain conditions before transferring data across borders, it is your obligation to obtain such authorization or meet such conditions;
• You agree to indemnify us against any claims, losses, or liabilities arising from cross-border data transfers.
• You specifically confirm that you will not transmit any data collected through the Service to Mainland China or provide such data to any individual or entity located within Mainland China for use. All liabilities arising from any violation of this provision shall be borne solely by you.

5.6 Brand Authorization & Promotion

You understand and agree that during and after your use of our services, Pangolinfo has the right to display your company name, brand logo, and partnership in a truthful, accurate, and proper manner on its official website, marketing materials, case studies, investor materials, and other promotional content to identify you as a user of our services.

The above authorization is subject to the following conditions:

• Confidentiality Restrictions: This authorization does not constitute a waiver of the confidentiality obligations under Chapter 5 of this Agreement. Pangolinfo shall not disclose any of your confidential information, business data, or commercial details in any promotional activities;
• Authenticity Requirements: All promotional content involving you must be truthful and objective, and must not exaggerate, misrepresent, or misleadingly describe our cooperative relationship or your business;
• Right of Withdrawal: You may notify Pangolinfo in writing at any time to withdraw this authorization. Pangolinfo shall cease adding related promotional content within a reasonable period (not exceeding thirty (30) business days) upon receipt of the notice.

5.7 Special Disclaimer for China Personal Information Protection Law (PIPL)

We expressly state that we have no intention to process any personal information of natural persons located in Mainland China. If we inadvertently process personal information of natural persons located in Mainland China due to your concealment of your true identity, violation of the geographic restriction clauses of this Agreement, or other non-compliant behaviors, all legal liabilities, regulatory penalties and compensation obligations arising therefrom shall be borne in full by you.

6Disclaimer & Limitation of Liability

6.1 Legal Information

We do not assume any substantive review obligations regarding the content, nature, or lawful scope of use of the data collected by you through this tool, nor are we responsible for the permissions and compliance of your data usage.

Based on this, we assume no liability for the following:

7Indemnification

You agree to indemnify, defend, and hold harmless Pangolinfo and its affiliates, directors, employees, agents, suppliers, and licensors from and against any and all claims, lawsuits, investigations, liabilities, damages, losses, and expenses (including but not limited to reasonable attorneys’ fees, court costs, fines and penalties) arising from or related to:

• Your breach of any terms of this Agreement, particularly the geographic restriction, identity representation and usage rule clauses;
• Your concealment of your true identity or geographic location and unauthorized use of the Service;
• Your use of the Service in violation of applicable laws and regulations or third-party terms of service;
• Your scraping activities infringing any third party’s intellectual property rights, privacy rights, trade secrets or other legitimate rights and interests;
• Your use of data obtained through the Service for any illegal or unauthorized purpose;
• Any claim or lawsuit filed against us by a third party arising from your use of the Service.

If we are subject to any regulatory investigation or penalty due to the above circumstances, you shall bear all costs incurred by us in responding to such investigation or penalty and compensate us for any fines and reputational losses suffered. This indemnification clause shall survive the termination of this Agreement.

10Amendments & Termination

10.2 Termination

We may terminate or suspend your account and all services immediately, without prior notice or liability, if you breach any terms of this Agreement, including but not limited to violations of the geographic service restriction clause, identity representation clause or acceptable use clause. Upon termination, all your rights to use the services will cease immediately. If you wish to terminate your account, you may simply discontinue using the services.

Pangolinfo may terminate or suspend the provision of services (or any part thereof) at any time, for any reason, with or without notice, and without incurring any liability.

11Force Majeure

Pangolinfo shall not be liable for any delays or failures to perform its obligations under this Agreement resulting from any causes beyond its reasonable control, including but not limited to natural disasters, acts of government, acts of terrorism, war, civil unrest, labor disputes, power outages, Internet service interruptions, or failures of any third-party services.

12Notices

All notices issued under this Agreement must be in writing and sent to the contact address or email address provided by the other party upon registration. Notices sent via email shall be deemed delivered at the time of sending, provided no bounce-back message is received. Mailed notices shall be deemed delivered within five (5) business days after being deposited at the designated postal address.

13Reservation of Rights

Any rights not expressly granted to you are reserved by Pangolinfo and its licensors.

14Applicable Law & Dispute Resolution

The interpretation and execution of this Agreement shall be governed by the laws of Singapore, without regard to its conflict of law principles.

15General Provisions

15.1 Entire Agreement

This Agreement constitutes the entire agreement between you and Pangolinfo regarding the use of the services and supersedes all prior or contemporaneous written or oral agreements, communications, and proposals.

15.2 Severability

If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, such invalidity or unenforceability shall not affect the validity or enforceability of the remaining provisions, which shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of this Agreement will not be considered a waiver of those rights or provisions.

15.4 Headings

The headings in this Agreement are for convenience only and shall not affect the interpretation of this Agreement.

15.5 Successors and Assigns

This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors, personal representatives, permitted assignees, and assigns. You may not assign this Agreement or any rights or obligations hereunder without our prior written consent. Any assignment without our consent shall be null and void.
